Sailun Tire Americas Inc. reserves the right, in its sole discretion, to limit or terminate your access to or use of the Site at any time without notice.

All content on this Site (including, without limitation, text, design, graphics, logos, icons, images, audio/video clips, downloads, interfaces, material, information, code and software, as well as the selection and arrangement thereof), is the exclusive property of and owned by Sailun Tire Americas Inc., its licensors or its content providers and is protected by copyright, trademark and other applicable laws. Sailun Tire Americas Inc. or its licensors or content providers, retain full and complete title to the content provided on the Site, including all associated intellectual property rights, and provide this content to you under a non-exclusive limited license that is revocable at any time in Sailun Tire Americas Inc.’s sole discretion. Sailun Tire Americas Inc. neither warrants nor represents that your use of content on this Site will not infringe rights of third parties.
All of the Sailun Tire Americas Inc. trademarks, trade names, logo, slogan, service marks, service names, product names and/or images, and intellectual property, whether or not delineated in large print or with trademark symbols or in any other fashion, are trademarks and/or intellectual property of Sailun Tire Americas Inc. and or its subsidiaries, affiliates, related entities or suppliers, vendors, partners or licensors. All other trademarks, trade names, logos, slogans, services marks, service names, product names and or/images, and intellectual property, as used or referenced in the Site, are the property of their respective owners.
You have no right, title, or interest in or to the Site or to any content on the Site, and all rights not expressly granted are reserved by Sailun Tire Americas Inc. ACCOUNTS: When and if you use the Site, it shall be your sole responsibility to provide true, accurate, current and complete information about yourself and maintain the confidentiality of your e-mail address, password and any other account identifiers related to any personal account you created on the Site (the “Account”), and for restricting access to your computer(s). You grant Sailun Tire Americas Inc. the right to use your name and likeness in connection with any such use of User Submissions made by you, but we will not be obligated to identify or attribute you in connection with any such use. You also agree that we will be free to use any ideas, concepts, know-how or techniques contained in any User Submissions for any purpose whatsoever without notifying or providing any further compensation to you.
You represent and warrant that: (i) you have the necessary rights to submit your User Submissions and grant the licence referenced above; (ii) no User Submission made by or through you to or through the Site violates any right of any third party, including copyright, trademark, privacy or other personal or proprietary rights; and (iii) no User Submissions made by or through you to the Site will be or contain material that is offensive, harmful, unlawful, threatening, libelous, defamatory, obscene, abusive, hateful, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, violate the security of the Site or would otherwise violate the law. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE INDEMNIFIED PARTIES RELATING TO THE SITE WILL BE LIMITED TO ONE HUNDRED CANADIAN DOLLARS ($100.00). THESE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE.
JURISDICTION AND APPLICABLE LAW: The formation, interpretation, and performance of these Terms of Use and any disputes arising out of these Terms of Use shall be governed by the substantive and procedural laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to rules on conflicts or choice of law. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Toronto, Ontario, Canada, and you hereby submit to the personal jurisdiction of such courts.
ENTIRE AGREEMENT & ADMISSIBILITY: These Terms of Use and any policies, statements, notices or operating rules (individually and collectively, the “Entire Agreement”) posted on this Site constitute the entire agreement and understanding between you and Sailun Tire Americas Inc. with respect to the subject matter thereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. A printed version of the Entire Agreement shall be admissible in judicial or administrative proceedings based on or relating to use of the Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
MISCELLANEOUS: The waiver of any provision of the Entire Agreement shall not be considered a waiver of any other provision or of Sailun Tire Americas Inc.’s right to require strict observance of each of the terms herein or therein. If any provision of the Entire Agreement is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect. The Entire Agreement does not create any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship. Except for the Indemnified Parties, there are no third party beneficiaries of these Terms of Use. The Entire Agreement is personal to you and you may not transfer, assign or delegate them to anyone without the express written permission of an authorized representative of Sailun Tire Americas Inc. Any attempt by you to assign, transfer or delegate the Entire Agreement or any portion thereof without the express written permission of an authorized representative of Sailun Tire Americas Inc. will be null and void. Sailun Tire Americas Inc. has the right to transfer, assign and delegate the Entire Agreement to one or more third parties without your permission.
LANGUAGE: This section applies to Quebec residents only. The parties hereto have required that this agreement, and all related documents, be drafted in English, at their express wish. A French version of this agreement has been provided to the customer or adhering party. Les parties aux présentes ont requis que la présente convention, ainsi que tous les documents qui s’y rattachent, soient rédigés en anglais, selon leur volonté expresse. Une version française de la présente convention a été remise au consommateur ou à l’adhérent.
