Official Rules and Regulations

1. No purchase necessary to enter or claim prize.
2. SPONSOR: The Contest Sponsor is Sailun Tire Americas, Inc., 1 Kenview Blvd Suite 300, Brampton, ON L6T 5E6 (the “Sponsor”).
3. ELIGIBILITY: Contest open to legal residents of Canada, excluding the Province of Quebec, who have reached the age of majority in their province or territory of residence. Employees agents, officers, directors, and representatives of Sponsor, all affiliates, subsidiaries, related companies, advertising and promotional agencies, and each of their parents, subsidiaries and affiliates (“Contest Parties”), and members of the immediate families and individuals living in the same household with such employees, agents, officers, directors, and representatives are not eligible to win. By participating, entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are binding and final on matters relating to this Contest.
4. CONTEST PERIOD. The contest (the "Contest") runs from November 1, 2023 through November 15, 2023 (“Contest Period”).
5. TO ENTER: Internet access and Instagram account required. To obtain one (1) entry, entrants must perform all of the following actions:
   • a) follow the Instagram account @roadxtire (the “Account”) on Instagram;
   • b) like the Account’s post dated November 01, 2023 that features three (3) distinct winter adventure scenes and
   • invites entrants to enter the Contest (the “Post”);
   • c) comment on the Post stating which of the three (3) scenes is your dream winter adventure;
   • d) in your comment, tag three (3) friends you would take with you on your winter adventure; and
   • e) share the Post to your Instagram story and tag @roadxtire in the story.
   Limit one (1) entry per person. Entries shall be deemed to be submitted by the authorized account holder of the Instagram account associated with the entry. Each selected entrant may be required to provide the Sponsor with proof that the selected entrant is the authorized account holder of the Instagram account associated with the winning entry.
6. PRIZE: There is one (1) prize to be awarded to the winner consisting of one brand new set of RoadX RXFrost winter tires (approximate retail value $800.00 CAD, depending on tire size selected by winner) (“Prize”).
   • a) Prize is provided "as is" and without any warranty of any kind. Prize must be accepted as awarded and is non-transferrable. No cash redemption or Prize substitution allowed by winner. Sponsor reserves the right to substitute a Prize of equal or greater value if the advertised Prize becomes unavailable. Winner is not entitled to monetary difference between actual Prize value and stated approximate retail value, if any.
   • b) Prize may be claimed by winner at Sponsor’s warehouse or at a local dealer, depending on location of winner. Sponsor to arrange for prize (tire) installation at a preferred dealer.
   • c) Winner will be responsible for any expense not explicitly included in the Prize, including pick up of tires – yes and installation of tires on vehicle.
   • d) Prize will be awarded to verified winners only. Sponsor will not replace any lost or stolen Prize.
7. SELECTION OF WINNER AND AWARDING OF PRIZE: Winner shall be selected as follows:
   • a) On or about November 16, 2023 (“Draw Date”), one entrant will be selected by a random draw conducted by GIANT SHOE at 45 James Street, St. Catharines, Ontario L2R 5B9304], from all eligible entries received during the Contest Period. The odds of being selected as a potential winner depend on the number of eligible entries received.
   • b) Selected entrant will be notified via direct message on Instagram from the official RoadX Tire Instagram account (@roadxtire) within three (3) days of the Draw Date. Upon notification, the selected entrant must respond using the method specified in the message and the selected entrant’s response must be received by the Sponsor within twenty-four (24) hours of such notification. If the selected entrant does not respond in accordance with the Contest Rules, he/she will be disqualified and will not receive a Prize and another entrant may be selected in the Sponsor’s sole discretion until such time as an entrant satisfies the terms set out herein. The Sponsor is not responsible for the failure for any reason whatsoever of a selected entrant to receive notification or for the Sponsor to receive a selected entrant’s response.
   • c) Before being declared a winner, the selected entrant shall be required to correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question to be administered during a pre-arranged telephone call or by e-mail, to comply with the Contest Rules and to sign and return the Confirmation and Release (described below). The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate or necessary to comply with applicable law.
8. RELEASE. Winner will be required to execute a legal agreement and release (“Confirmation and Release”) that confirms winner’s:
   • (i) eligibility for the Contest and compliance with these Contest Rules;
   • (ii) acceptance of the Prize as offered;
   • (iii) release of the Contest Parties, Instagram, and each of their employees, directors, officers, suppliers, agents, successors and assigns (collectively, the “Releasees”) from any and all liability for any loss, harm, damages, cost or expense arising out of participation in the Contest, participation in any Contest-related activity or the acceptance, use, or misuse of any Prize, including but not limited to costs, injuries, losses related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom;
   • (iv) grant to the Sponsor of the unrestricted right in perpetuity and royalty-free, in the Sponsor’s individual discretion, to produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, distribute, adapt and otherwise use or re-use the winner’s name, photograph, likeness, voice and biography, in any and all media now known or hereafter devised, in connection with the Contest and the promotion and exploitation thereof. The executed Confirmation and Release must be returned within two (2) business days of the date indicated on the accompanying letter of notification or the verification as a winner or the selected entrant will be disqualified and the Prize forfeited.
9. LIMITATION OF LIABILITY. The Releasees assume no responsibility or liability for lost, late, unintelligible/illegible, falsified, damaged, misdirected or incomplete entries, notifications, responses, replies or any Confirmation and Release, or for any computer, online, software, telephone, hardware or technical malfunctions that may occur, including but not limited to malfunctions that may affect the transmission or non-transmission of an entry. The Releasees are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the administration of the Contest. The Releasees assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Releasees are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. The Releasees are not responsible for any injury or damage to entrant or to any computer related to or resulting from participating or downloading materials in this Contest. Entrant assumes liability for injuries caused or claimed to be caused by participating in the Contest, or by the acceptance, possession, use of, or failure to receive any Prize. The Releasees assume no responsibility or liability in the event that the Contest cannot be conducted as planned for any reason, including those reasons beyond the control of the Sponsor, such as infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or corruption of the administration, security, fairness, integrity or proper conduct of this Contest or Contest Website.
10. CONDUCT. By participating in the Contest, each entrant agrees to be bound by the Contest Rules. Entrant further agrees to be bound by the decisions of the Sponsor, which shall be final and binding in all respects. The Sponsor reserves the right, in its sole discretion, to disqualify any entrant found to be:
    • (a) violating the Contest Rules;
    • (b) tampering or attempting to tamper with the entry process or the operation of the Contest or the Contest Website;
    • (c) violating the terms of service, conditions of use and/or general rules or guidelines of any online property or service of the Sponsor; and/or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR ANY RELATED WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING BUT NOT LIMITED TO CRIMINAL PROSECUTION.
11. RIGHT TO VOID / TERMINATE / SUSPEND / MODIFY. Sponsor reserves the right to terminate, suspend or modify this Contest, in whole or in part, at any time and without notice or obligation for no reason, or any reason, including if, in Sponsor’s sole discretion, any factor interferes with its proper conduct as contemplated by these Contest Rules. Without limiting the generality of the foregoing, if the Contest, or any part thereof, is not capable of running as planned for any reason, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, programming errors, or technical failures, which, in the sole discretion of Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor may, in its sole discretion void any suspect entries and:
    • (a) terminate the Contest, or any portion thereof;
    • (b) modify or suspend the Contest, or any portion thereof, to address the impairment and then resume the Contest, or relevant portion, in a manner that best conforms to the spirit of these Contest Rules; and/or
    • (c) award the Prize from among the eligible, non-suspect entries received up to the time of the impairment in accordance with the winner selection criteria discussed above.
12. PRIVACY / USE OF PERSONAL INFORMATION. By participating in the Contest, entrant:
    • (i) grants to the Sponsor the right to use his/her name and e-mail address (“Personal Information”) for the purpose of administering the Contest, including but not limited to contacting and announcing the winner;
    • (ii) grants to the Sponsor the right to use his/her Personal Information for publicity and promotional purposes relating to the Contest, in any and all media now known or hereafter devised, without further compensation unless prohibited by law; and
    • (iii) acknowledges that the Sponsor may disclose his/her Personal Information to third-party agents and service providers of the Sponsor in connection with any of the activities listed in (i) and (ii) above.
13. GENERAL. These are the official Contest Rules. The Contest is subject to applicable federal, provincial and municipal laws and regulations. The Contest Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over the Sponsor. All issues and questions concerning the construction, validity, interpretation and enforceability of the Contest Rules or the rights and obligations as between the entrant and the Sponsor in connection with the Contest shall be governed by and construed in accordance with the laws of the province of Ontario including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The invalidity or unenforceability of any provision of these Contest Rules shall not affect the validity or enforceability of any other provision. If any provision of the Contest Rules is determined to be invalid or otherwise unenforceable, then the Contest Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. This Contest is no way sponsored, endorsed, administered by, or associated with Instagram.
